Terms of Service

1. Acceptance of Terms

By creating an account, requesting API keys, or otherwise using Accelbiz Fintech's website, dashboard, or API (together, the "Service"), you agree to these Terms of Service. If you are using the Service on behalf of a business, you confirm you have authority to bind that business.

2. Description of Service

Accelbiz provides a unified API and dashboard for sending messages over WhatsApp, RCS, SMS, and Email, along with template review, delivery analytics, and quality guardrails for supported channels. Availability of specific features depends on the underlying channel provider's own policies and coverage.

3. Account Registration & API Keys

You are responsible for the accuracy of your account information and for keeping your API keys and credentials confidential. You are responsible for all activity that occurs under your account and must notify us promptly of any unauthorized use.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in line with the underlying channel policies, including:

• Obtaining valid opt-in consent before sending marketing or promotional messages on any channel.
• Complying with Meta's WhatsApp Business Messaging Policy and Google's RCS Business Messaging policies for those channels.
• Complying with applicable telecom sender ID rules (including TRAI DLT registration for India and 10DLC for the US) for SMS.
• Complying with applicable anti-spam law, including CAN-SPAM, for email.
• Not using the Service to send unlawful, fraudulent, deceptive, or harassing content.

We may suspend or terminate access for accounts that violate this section or put our sender reputation, or that of other customers, at risk.

5. Fees & Payment

Fees for the Service are as set out in your order form, pricing plan, or invoice. Unless otherwise agreed in writing, fees are non-refundable and are exclusive of applicable taxes, which you are responsible for.

6. Service Availability

We work to keep the Service highly available and publish live status at api-status.html. Specific uptime or service-level commitments, where offered, are set out in a separate agreement with enterprise accounts rather than these Terms.

7. Intellectual Property

We retain all rights in the Service, including our software, documentation, and branding. You retain all rights in the content you send through the Service. You grant us a limited license to process that content solely to provide the Service.

8. Confidentiality

Each party agrees to protect the other's confidential information with the same care it uses for its own, and not to disclose it except as needed to perform under these Terms or as required by law.

9. Limitation of Liability

To the maximum extent permitted by law, Accelbiz will not be liable for indirect, incidental, or consequential damages arising from use of the Service, and our total liability for any claim will not exceed the fees you paid us in the three months preceding the claim.

10. Indemnification

You agree to indemnify Accelbiz against claims arising from your misuse of the Service, your content, or your violation of these Terms or applicable law, including channel and messaging regulations.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access for breach of these Terms, non-payment, or if required by a channel provider or applicable law. Sections that by their nature should survive termination will continue to apply.

12. Governing Law & Disputes

These Terms are governed by the laws of India, and disputes are subject to the exclusive jurisdiction of the courts of Maharashtra, without regard to conflict-of-law principles.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above, and significant changes will be communicated to account holders before they take effect.
